Citi® Online User Agreement

IMPORTANT: TO ENROLL YOU MUST CONSENT TO RECEIVE NOTICES AND INFORMATION ABOUT THE SERVICE ELECTRONICALLY. YOU MUST HAVE THE ABILITY TO RECEIVE AND RETAIN ELECTRONIC COMMUNICATIONS BEFORE YOU ACCEPT THE TERMS OF THIS USER AGREEMENT ("AGREEMENT"). THIS AGREEMENT SETS FORTH THE TERMS AND CONDITIONS UNDER WHICH YOU MAY UTILIZE THE VARIOUS FEATURES OF THE SERVICE, AS MORE FULLY EXPLAINED BELOW. BY CLICKING THE "I AGREE" BUTTON BELOW, YOU CONSENT TO RECEIVE INFORMATION ELECTRONICALLY AND AGREE TO THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT. WE RESERVE THE RIGHT TO PROVIDE INFORMATION ABOUT THE SERVICE TO YOU BY NON-ELECTRONIC MEANS.

IN THIS AGREEMENT, “Citi” means Citibank or CGMI, “Citibank” means Citibank, N.A., “CGMI” means Citigroup Global Markets Inc., “we”, “us”, and “our” mean Citi and "you" and "your" mean the Citi customer (including consumers, sole proprietors and other eligible small businesses signers and users).

A. What this User Agreement Covers.

This User Agreement between you and Citibank governs the use of the electronic functions and services accessible through Citi Online or the Citi Mobile® App. (“Citi Mobile”) that permits Citibank customers to access and perform transactions with their Citi accounts through the Internet using personal computers or similar access devices. Accounts and services provided by Citibank and CGMI which you access and transact upon through Citi Online or Citi Mobile are governed by separate agreements with you. Services provided through Citi Online and Citi Mobile® App are subject to the terms and instructions (including online Help tools and similar content) appearing on screen when enrolling in or using a particular service and are considered part of this Agreement.

B. Accepting the Agreement.

You understand that by selecting I Agree below, you will agree to the terms and conditions of this Agreement and will use Citi Online and Citi Mobile® App as provided in this Agreement. You agree that during such use Citibank or CGMI may download certain information, including customer identification information, to your computer or other access device. By accepting this Agreement, you hereby authorize: (i) CGMI to provide account information to Citibank and, as applicable, accept instructions initiated by you through Citi Online or Citi Mobile® App to conduct transaction in your linked account(s); and (ii) Citibank to request, receive and present information about your account(s) with CGMI that are linked to your Online User ID and, as applicable, transmit instructions initiated by you through Citi Online or Citi Mobile to the CGMI to conduct transactions with your linked accounts(s).

C. Maintaining Your Accounts.

You agree to properly maintain any accounts you have with Citibank or CGMI, to comply with the rules and agreements governing these accounts, and to pay any fees associated with the use or maintenance of these accounts, including commissions you may incur in connection with securities transactions. You may be provided with access to your eligible business accounts through Citi Online and Citi Mobile® App. If you elect to link your consumer and business accounts and use a common User ID and password for Citi Online and Citi Mobile to access such accounts, you may do so at your sole risk. Consistent with your obligations under applicable account agreements, you agree to maintain and use business accounts for business purposes only and not for personal, family or household purposes.

D. Services.

The following are examples of what you can do using Citi Online and Citi Mobile® App. Some services are subject to additional agreements which will be presented to you when enrolling in a particular service or using a feature.
- Apply for or open additional accounts and services from Citibank and CGMI.
- Get cash advances from Citi credit cards.
- Borrow from eligible Citibank loan accounts with funds transferred to checking, savings, insured money market accounts.
- Transfer funds between checking, savings, and insured money market accounts.
- Transfer funds between your CGMI Investment Account* and your Citibank checking, savings or insured money market accounts.
- Make transfer payments to eligible Citibank loan accounts with funds transferred from checking, savings and insured money market accounts.
- Make transfer payments to Citibank credit cards with funds transferred from checking, savings and insured money market accounts.
- Initiate domestic and international wire transfers subject to applicable limits.
- Pay bills or send money to payees you designate from checking, and eligible Citibank loan products.
- Request stop payment on your personal checks.
- Get account information and/or statement update for checking, savings, insured money market accounts, eligible Citibank loan accounts, eligible investment accounts and Citi credit cards.

E. Applying for Additional Accounts and Services.

If you apply for an account or service through Citi Online or Citi Mobile® App, or ask to change an account or service you already use, you authorize Citibank and CGMI to treat your application or request as if it had been made in writing and signed by you.

F. Transfers and Payments.

When you instruct Citibank to transfer funds or make a payment from your linked accounts through Citi Online or Citi Mobile® App, you authorize Citibank to withdraw the necessary funds from the Citibank account you designate. You agree that you will instruct Citibank to make a withdrawal only when a sufficient balance is or will be available in your designated account at the time of withdrawal. Citibank will not be obligated to act on any transfer or payment instruction from you if sufficient funds, including those available through an overdraft line of credit account, are not available in the account you designate.

Refer to the Payments and Transfers Addendum to this User Agreement for additional information.

For details on the types of payments and transfers you can make through Citi Online and Citi Mobile as well as current policies and procedures for processing payments and transfers (including limitations on frequency and dollar amount of transactions and cutoff times) refer to the Payments and Transfers Addendum to this User Agreement content within the Payment and Transfers Services section on Citi Online, and the terms and conditions of your applicable account.

G. Online Credentials and Authentication.

You can access Citi Online and Citi Mobile by logging in with a self-selected User ID and password and using other available methods and procedures described in Section H of this User Agreement. You agree to keep your username, password, and any other security or access information confidential to prevent unauthorized access to your account(s) and to prevent unauthorized use of your accounts. You agree not to give or make available your user name and password to any other person.

If you believe the security of your password has been compromised in any way (for example, your password has been lost or stolen, someone has attempted to use Citi Online or Citi Mobile to access your accounts without your consent, your accounts have been accessed, or someone has transferred money from your account(s) without your permission), you must notify us immediately.

Citibank reserves the right to deny your access to any one or more account(s) through Citi Online and/or Citi Mobile, or to deny the processing of transactions, to maintain or restore security or performance to our systems.

H. Security Procedures.

Citi Online and Citi Mobile® App have been designed to reduce the possibility of fraud by placing the selection of a User ID, password, and biometric identification features available within certain mobile devices ("Online Credentials”) under your control so that your accounts may be accessed through Citi Online or Citi Mobile® App only upon entry of your valid Online Credentials and provision of any additional user identification, authorization code or other authentication information that may be requested by Citibank. You authorize Citibank to treat any instruction made on Citi Online or Citi Mobile® with your Online Credentials as if the instructions had been made in writing and signed by you. Unless there is substantial evidence to the contrary, Citibank records will be conclusive regarding any access to, or action taken through, Citi Online or Citi Mobile® App with your Online Credentials. You are responsible for maintaining the confidentiality of your Online Credentials and you will not allow any person (including another Citibank customer or your employee) to use your Online Credentials. You agree to inform Citibank promptly of any unauthorized access that you discover.

Citibank will consider any access to Citi Online or Citi Mobile® App through use of your Online Credentials to be duly authorized, and Citibank will carry out any instruction given regardless of the identity of the individual who is actually accessing the website or your mobile app with your Online Credentials. When a request for a funds transfer (including a wire transfer) is made online using your Online Credentials, Citibank will follow an additional security procedure established for the protection of your account that may entail a telephone call, authorization code or other contact with or from you prior to acting upon your instructions. If you have downloaded the Citi Mobile® App and linked your Online Credentials to it, you must enable enhanced authentication on your app by using either the native biometric features on your mobile device or selecting a 6 Digit PIN. You agree that you will be required to sign on to your mobile app using one of these enhanced authentication methods when setting up a wire transfer, Citibank Global Transfer or Intra Citi Transfer on Citi Online or Citi Mobile® App when prompted to by Citibank. You understand that by not using Citi Mobile® App, you are declining the use of this additional security procedure.

You acknowledge and agree that the use of these security procedures are commercially reasonable and appropriate for you. You understand that the security procedures are intended to verify the funds transfer request has been properly authorized and is not intended to detect errors in the content of your instructions. If a beneficiary of the funds transfer is identified by name and account number, the beneficiary’s bank may pay the funds to the person identified by the account number, and your funds transfer may be final even if the account number provided does not correspond to the named beneficiary.

You agree to be bound by any funds transfer request Citibank receives and verifies in accordance with these security procedures. You agree to these security procedures, and acknowledge that if contacted, either by telephone or electronically, you will act or respond in compliance with requests resulting from these security procedures and will be bound by any resulting transfer or decision not to act upon your instructions or to deny access to persons purporting to be you.

I. Additional Terms Applicable to Business Accounts.

You represent that each individual who has been granted access to Citi Online or Citi Mobile® App has general authority from your business to give instructions to Citibank with respect to your linked account upon entry of your Online Credentials (including general authority over the movement of your funds and over accounts with Citibank) and that Citibank has full authorization from your business to rely and act upon instructions from the individual identified by such Online Credentials. You accept responsibility for unauthorized access to Citi Online or Citi Mobile® App with your Online Credentials by your employees and associates or by third parties. In the event of any conflict between the authority of an individual (including the entitlement to initiate and approve financial transactions on behalf of your business) as evidenced in an account agreement, banking resolution, power of attorney or other means and that granted through this Agreement (including additional service agreements), the terms of this Agreement shall have precedence.

J. Fees.

There are currently no monthly service charges or transaction fees for using Citi Online or Citi Mobile® App. However, you are responsible for all account related monthly service charges and transaction fees described in the applicable agreements governing your accounts. You are also responsible for all telephone charges incurred in connecting to Citi Online or Citi Mobile® App and charges by any Internet Service Provider.

K. Changes in Terms/Fees.

Citibank may change online services and the terms, including fees, set forth in this Agreement or disclosed to you separately at any time. You will be notified of any such change as required by applicable law, either by mail or by an electronic message. You understand that by using Citi Online or Citi Mobile® App after a change becomes effective, you have agreed to it.

L. Cancellation.

This agreement will remain in effect until it is terminated by you or Citibank. You understand that termination of this Agreement will also cancel any services you obtain from Other Information Providers but will not terminate your accounts with CGMI. Citibank may cancel this Agreement and terminate your use of Citi Online or Citi Mobile® App for any reason, at any time. We will try to notify you in advance, but we are not obliged to do so.

M. Limitation of Liability.

Citibank agrees to make reasonable efforts to ensure full performance of Citi Online and Citi Mobile® App. Citibank and CGMI will be responsible for acting only on those instructions sent through any messaging feature which are actually received and cannot assume responsibility for malfunctions in communication facilities not under their control that may affect the accuracy or timeliness of messages you send. Neither Citibank nor any Other Citigroup Affiliate is responsible for any losses or delays in transmission of instructions arising out of the use of any internet service provider or caused by any browser software. Neither Citibank nor CGMI is responsible should you give incorrect instructions or if your payment instructions are not given sufficiently in advance to allow for timely payment or delays in mail service.

Any information you receive from Citibank and CGMI is believed to be reliable. However, it can only be provided on a best efforts basis for your convenience and is not guaranteed. Neither Citibank, nor CGMI is liable for any deficiencies in the accuracy, completeness, availability or timeliness of such information or for any investment or other decision made using this information.

Citibank and CGMI are not responsible for any computer virus or related problems which may be attributable to services provided by any internet service provider.

Except as otherwise provided in the "Citibank's Responsibility to You " provision of Section R of this User Agreement and in the absence of gross negligence or willful misconduct on the part of Citibank or CGMI: (a) Neither Citibank nor CGMI is responsible for any direct, indirect, special, incidental or consequential damages arising in any way out of the use of Citi Online; (b) the entire liability of Citibank, CGMI and their affiliates and your exclusive remedy with respect to the use of Citi Online shall be the replacement of any browser or other software provided by Citibank to use with Citi.com found to be defective. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states the liability of Citibank, CGMI and their affiliate is limited to the extent permitted by law.

NEITHER CITIBANK NOR ANY OTHER CITIGROUP AFFILIATE MAKES ANY EXPRESS OR IMPLIED WARRANTIES CONCERNING CITI ONLINE SOFTWARE OR SERVICES OR BROWSER INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT OF THIRD PARTY PROPRIETARY RIGHTS UNLESS DISCLAIMING SUCH WARRANTIES IS PROHIBITED BY LAW.

N. No Other Use.

Citi Online and Citi Mobile® App provide access to services and information from Citibank, CGMI and their service providers, which may be presented with a distinctive "look and feel." These services, information and "look and feel" are proprietary to Citibank, CGMI and their service providers. You may use Citi Online and Citi Mobile only for your personal use and may not reproduce, sell or distribute all or any portion of the information provided to you through by Citi Online or Citi Mobile® App.

You agree that we may record the conversations our employees have with you. We do this from time to time to monitor the quality of service and accuracy of information our employees give you, and to ensure that your instructions are followed.

P. Electronic Messages.

Because normal Internet e-mail transmissions may not be secure, you agree to contact us electronically only by using the secure message facility available at Citi Online. You also agree to receive communications regarding your account electronically and will not attempt to circumvent receiving any messages. You are deemed to have received any electronic messages sent to you when they are made available to you. You may print a copy of such communications using the "print" function of your software, or you may request that Citibank mail you a paper copy of such communication by contacting Customer Service as provided in Section N.

Q. Severability.

In the event any one or more of the provisions of this Agreement shall for any reason be held to be invalid, illegal or unenforceable, the remaining provisions shall remain valid and enforceable.



R. Our Responsibility to You.

If we do not complete a transfer to or from your account on time or in the correct amount according to our agreement with you, we will be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance:

  1. If, through no fault of ours, you did not have enough money in your account to make the transfer.
  2. If the transfer would have caused you to exceed your available credit.
  3. If the automated teller machine where you are making the transfer did not have enough cash.
  4. If you knew the Citibank proprietary ATM, network cash machine or POS outlet terminal was out of order and you used it anyway.
  5. If circumstances beyond our control, or natural disasters such as fire or flood, prevented the transfer, despite reasonable precautions taken by us.
  6. There are other exceptions stated in our agreement with you, such as:
    1. if we fail to stop payment on an automatic recurring transfer as you requested, but we did not receive your stop payment instructions at least three business days before the transfer was scheduled to be made, or
    2. if, through no fault of ours, the money in your account was attached, subject to legal process or was blocked in some other way, or
    3. if you are trying to defraud us.

I HAVE READ AND UNDERSTAND THIS AGREEMENT AND AGREE TO BE BOUND BY ALL OF ITS TERMS AND CONDITIONS.

Agreement to Terms and Conditions of User Agreement

Information Provided Electronically. In order to use the services provided through Citi Online and Citi Mobile, you must consent electronically to receive and accept the terms and conditions of the User Agreement presented above, and any amendments to it. You may withdraw your consent to having this information provided to you electronically by going to www.citibankonline.com or www.citi.com and deleting yourself as a registered user. Withdrawing your consent in this manner will not prevent you from re-enrolling for these services.

Required Equipment. In order to use the service and to view and retain a copy of the terms and conditions contained in the User Agreement, you must have a computer equipped with at least: a browser with 128-bit encryption; and either a printer or a disk drive or other storage device. You can also obtain a copy of the User Agreement by calling 1-800-374-9700.

Consent by Customer and Agreement to Terms and Conditions. By Clicking "I Agree" below, you acknowledge and agree: (1) you have software and equipment that satisfies the above requirements; and (2) to receive electronically information about the Citi Online services, including the User Agreement and any subsequent amendments to them and (3) you have obtained, read and understand an electronic copy of the User Agreement and agree to be bound by all the terms and conditions contained therein.

Payments and Transfers Addendum to Citi Online User Agreement

A. Inter-Institution Transfers ("IIT").

You can transfer funds between your eligible linked Citibank personal deposit accounts and eligible linked CGMI personal investment accounts and certain deposit or investment accounts (checking, savings, or money market accounts) you hold with other financial institutions through the Automated Clearinghouse ("ACH") Network using the IIT Service. IIT transfers are described in and subject to the Terms and Conditions for Inter-Institution Transfers.

B. Linked Account (Internal) Transfers.

    I. General Terms

Linked Account Transfers can be used to move available funds between the eligible Citi accounts linked to your online profile. When you instruct Citi to transfer funds between your linked accounts, you authorize Citi to withdraw the necessary funds from the Citi account you designate. You agree that you will request a transfer only when you have a sufficient available balance in your designated account at the time of transfer.

    II. Timing, Scheduling and Limits

We reserve the right to impose a frequency or dollar limit on transfers, or to refuse to make any transfer between certain accounts. All transfers are subject to limits and other restrictions in your applicable account agreements and as further described below and within information provided to you when setting up a transfer request.

    III. Transfers between eligible deposit accounts.

Transfers between your eligible deposit accounts will be processed immediately and the funds will be available in the account being credited. Future dated transfers (including recurring transfers) will be deducted from your account on the transfer date.

    IV. Transfers to and from unsecured credit accounts.

Transfers from your Citi consumer credit card or to or from your Checking Plus® Overdraft line of credit account will be processed immediately and available. The minimum or maximum you will be able to withdraw via transfers is subject to the terms of your applicable existing credit agreement. Future dated and recurring transfers cannot be made to Checking Plus accounts.

    V. Transfers to and from Brokerage Accounts.

Transfers can be made between eligible Citibank deposit accounts and eligible brokerage accounts you hold with CGMI through Citi Personal Wealth Management ("CPWM").

When instructions are received by us at or before the established cutoff time, funds will be posted to, and viewable in, the receiving account on the day the instruction was made. When instructions are received after the cutoff time, funds will be posted to, and viewable in, receiving account on the next Business Day following the day the Instruction was made. For more information about transfers involving your brokerage account, including when funds will be available for trading, please refer to the terms of your CPWM Account.

C. Online Bill Payment.

    I. General Terms

Online Bill Payment can be used to pay a merchant bill or an individual person (domestic payees only). Most payments to merchants are processed as an electronic funds transfer but Citibank reserves the right to send a Citibank Official Check; payments to individual persons are made by Citibank Official Check. Citibank is not responsible for postal delays or processing delays by the payee. When you instruct Citibank to make an online bill payment, you authorize Citibank to withdraw the necessary funds from your Citibank account. You agree that you will instruct Citibank to make a payment only when a sufficient balance is or will be available in your account on the day you have scheduled your bill payment. Citibank will not process your bill payment if sufficient funds, including those available through an overdraft line of credit account, are not available.

If there are insufficient funds available in your designated account on the day a bill payment is scheduled to be made, Citibank will automatically try to complete it on the next two consecutive calendar days except for July 4, Thanksgiving Day, Christmas Day. If there are still insufficient funds on the third try, Citibank will cancel the bill payment and notify you.

You should not use Online Bill Payment to pay payees to whom you are obligated for tax payments, payments made pursuant to court orders (including court-ordered amounts for alimony or child support), fines, payments to loan sharks, gambling debts or payments otherwise prohibited by law.

    II. Timing, Scheduling and Limits

Bill payments made as electronic funds transfer are processed each calendar day except for July 4, Thanksgiving Day and Christmas Day. Bill payments made by Official Check are mailed on Business Days only via USPS First-Class Mail. If the payment is made by Official Check, you should allow at least 7 business days for the payee to receive payment. Please note that checks are mailed without a postmark, as Citibank uses pre-printed envelopes with postal permit numbers for mailing. In addition, please be aware that many payees including the IRS and other government agencies do not accept electronic payments initiated from online banking websites.

It is your responsibility to set up and schedule bill payments with sufficient time for your payee to receive your payment on a timely basis. You understand and agree that Citibank reserves the right to impose a frequency or dollar limit on payment requests or to refuse to make any payment you have requested.

There are limits on the amount of money you can send or receive through Online Bill Payment as disclosed in your applicable account agreement.

    III. Changing or Stopping Payments

You can stop or change any scheduled bill payment, if you: (1) do so within the same Bill Pay secure online session or by calling the number on the bank of your Citibank Banking Card, and (2) have submitted your request in time to provide us a reasonable opportunity to act on it before we process your request. Stop payment requests are not guaranteed.

    IV. eBill Service

You can receive electronic delivery of your statements and bills ("eBills") from participating U.S. merchants ("Billers") through Citi Online as an added bill payment feature. The e-Bill service is provided for your convenience, and Citibank is not responsible for timely delivery of any bill or statement. If you start receiving electronic bills from a Biller, the Biller may stop sending you paper or other statements. The ability to receive a paper copy of your statement(s) is at the sole discretion of the Biller.

You can receive e-Bills from a Biller if: (a) you have designated it as a Biller, and (b) the Biller has arranged with our Service Provider to deliver electronic bills. The Service may then present you with electronic bills from that Biller if either: (1) you affirmatively elect online within the Service to receive electronic bills from the Biller, or (2) the Biller chooses to send you electronic bills on a temporary "trial basis." In either case, you can elect online within the Service to stop receiving electronic bills from a Biller. Electing to receive electronic bills, automatically receiving trial electronic bills, and declining further elected or trial electronic bills all occur on an individual Biller basis. The Service does not include an option to prevent ever participating in the automatic trial electronic bill feature. When you elect to receive electronic bills from a Biller, you may be presented with terms from that Biller for your acceptance. We are not a party to such terms.

Sharing Information with Billers. You authorize us to share identifying personal information about you (such as name, address, telephone number, Biller account number) with companies that you have identified as your Billers and which we have identified as offering electronic bills for purposes of matching your identity on the Service's records and the Biller's records to (a) activate your affirmative request for electronic bills, and/or (b) confirm your eligibility for "trial basis" electronic bills.

Information held by the Biller. We are unable to update or change personal information held by the Biller (such as name, address, phone numbers and email addresses). If you need to make any changes, you must contact the Biller directly. Additionally, it is your responsibility to maintain all usernames and passwords for all electronic Biller sites. You also agree not to use someone else's information to gain unauthorized access to another person's bill. We may, at the request of the Biller, provide to the Biller your email address, service address, or other data specifically requested by the Biller for purposes of the Biller matching your identity against its records or informing you about the Biller's services and/or bill information.

Activation. We will notify the Biller of your request to receive electronic billing information. The presentment of your first electronic bill may vary from Biller to Biller and may take up to sixty (60) days, depending on the billing cycle of each Biller. While your electronic bill feature is being activated, it is your responsibility to keep your accounts current. Each electronic Biller reserves the right to accept or deny your request to receive electronic bills.

Authorization to obtain bill data. You authorize us to obtain bill data from your Billers that you have requested to send you electronic bills, and from your Billers that wish to send you trial electronic bills. For some Billers, you will be asked to provide us with your username and password for that Biller. By providing us with such information, you authorize us to use the information to obtain your bill data.

Notification. We will attempt to present all of your electronic bills promptly. In addition to notification within the Service, we may send an e-mail notification to the e-mail address listed for your account. It is your sole responsibility to ensure that this information is accurate. In the event you do not receive notification, it is your responsibility to periodically log in to the Service and check on the delivery of new electronic bills. The time for notification may vary from Biller to Biller. You are responsible for ensuring timely payment of all bills.

Cancellation of electronic bill notification. The electronic Biller reserves the right to cancel the presentment of electronic bills at any time. You may cancel electronic bill presentment at any time. The time period for cancellation of your electronic bill presentment may vary from Biller to Biller. It may take up to sixty (60) days, depending on the billing cycle of each Biller.

D. Wire and Other Online Funds Transfers.

You can make funds transfers to beneficiaries with Citibank accounts by Intra Citi Transfer and Citibank Global Transfers or to beneficiaries with external accounts by wire transfer. These services are described in and subject to the Agreement for Online Funds Transfers.

E. Real Time Payments.

You can make payments to other persons and select businesses using the Real Time Payment ("RTP") Network. Citi refers to these payments as Instant Payments. These services are described in and subject to the Instant Payment Terms and Conditions.

F. Zelle®.

You can send, request, and receive money from most other persons with a U.S. bank account using Zelle.

THE SERVICE IS INTENDED TO SEND MONEY TO FRIENDS, FAMILY AND OTHERS YOU TRUST. YOU SHOULD NOT USE THE SERVICE TO SEND MONEY TO RECIPIENTS WITH WHOM YOU ARE NOT FAMILIAR OR YOU DO NOT TRUST.
